Vehicle Rental and/or Sale Agreement via the HADA CARS Platform

This agreement sets forth the terms and conditions between the Lessor/Seller (vehicle owner) and the HADA CARS Platform. By using the Platform to rent or sell their vehicle, the Lessor/Seller agrees to the following terms. 

**1. Purpose of the Agreement** The Lessor/Seller makes their vehicle available on the Platform for rental and/or sale under the terms defined below. This agreement governs the obligations of the Lessor/Seller, the Platform, and the Renter/Buyer. 

**2. Obligations of the Lessor/Seller** 

**2.1. Vehicle Ownership and Compliance

** The Lessor/Seller certifies that they are the legal owner of the vehicle or have the necessary rights to rent or sell it. The Lessor/Seller agrees to: – Provide a vehicle that is in good working order, safe, and complies with current legal standards. – Provide the Platform with an accurate description of the vehicle (make, model, mileage, condition, etc.). – Have all the necessary legal documents (registration, up-to-date technical inspection certificate, etc.). 

**2.2. Insurance** The Lessor/Seller must: – Provide valid insurance covering the rental of the vehicle to third parties. A copy of the insurance policy will be sent to the Platform. – Maintain the vehicle’s insurance for the entire duration of its availability on the Platform. – In the event of the vehicle’s sale, the Lessor/Seller agrees to inform the new owner of the obligation to insure the vehicle upon purchase. 

**2.3. Rental and/or Sale Price** The Lessor/Seller sets the rental or sale price of the vehicle according to conditions agreed upon with the Platform. However, the Platform reserves the right to recommend pricing adjustments to remain competitive. 

**2.4. Vehicle Availability** The Lessor/Seller is required to keep the vehicle’s availability information up to date on the Platform. In case of unavailability (maintenance, personal use, etc.), they agree to temporarily disable the listing or inform the Platform. 

**2.5. Vehicle Condition Verification** The Lessor agrees to check the condition of the vehicle before and after each rental. Any damage that occurs during the rental period must be reported to the Platform within 24 hours from the date the vehicle is returned by the renter. 

**3. Obligations of the Platform**

3.1. Matching Services The Platform agrees to: Connect the Lessor/Seller with potential Renters/Buyers. Provide a secure interface for managing bookings, payments, and communications. 

3.2. Payment Management The Platform collects payments for rentals and/or sales and transfers the due amount to the Lessor/Seller after deducting service fees and commissions, according to the agreed compensation model. The vehicle sale transaction will be completed by the Platform once all legal documents are completed and validated. 

3.3. Service Fees The Platform charges service fees to the Lessor/Seller for using its matching, promotion, and administrative management services. These fees will be outlined in a fee schedule available on the Platform and are subject to change. 

4. Obligations of the Renter/Buyer The Renter/Buyer is responsible for: Using the vehicle in accordance with local laws and the rental terms established. Returning the vehicle in the same condition it was received. Assuming responsibility for any damage caused to the vehicle during the rental period, as per the insurance coverage. In case of sale, the Buyer agrees to complete the ownership transfer and vehicle payment process within a maximum of 15 days.

5. Liability 

5.1. Lessor/Seller’s Liability The Lessor/Seller is solely responsible for hidden defects and mechanical failures that were not disclosed before the rental or sale. They agree to cover or bear the cost of any undisclosed issues. 

5.2. Platform’s Liability The Platform is not liable for: Disputes between the Lessor and the Renter or between the Seller and the Buyer. Damage caused to the vehicle during the rental period. Delays or payment defaults if the payment was made outside the Platform. However, the Platform will implement mediation mechanisms in case of disputes, within its capacity. 

6. Damage Management In the event of damage to a rented vehicle, the Lessor must report the incident to reservations@hadacars.com within 24 hours of the vehicle’s return. The Renter will, if necessary, be responsible for reimbursing repair costs according to the terms of the subscribed insurance contract. 

7. Termination 

7.1. Termination by the Lessor/Seller The Lessor/Seller may terminate their registration with the Platform at any time, provided all ongoing rentals or sales are honored. Termination will take effect after all transactions are closed. 

7.2. Termination by the Platform The Platform reserves the right to suspend or terminate the Lessor/Seller’s access in case of: A serious breach of the obligations in this contract. Misrepresentation regarding the condition of the vehicle or the documents provided. Fraudulent behavior or attempted fraud. 

8. Disputes In the event of a dispute, the parties agree to attempt mediation through the Platform. If no solution is found, the dispute will be brought before the competent courts in the country where the service is provided. 9. Amendments to the Terms and Conditions The Platform reserves the right to modify these terms and conditions. Any changes will be notified to Lessors/Sellers via email or an update on the application.
